AODE Worldwide Commercial License (Solo) — Source-Available, No-Resale / No-Redistribution

1) Acceptance

This license is a legal agreement between:

  • "Licensor" (the AODE author/publisher), and
  • "Licensee" (the person or legal entity using the Software).

By installing, copying, accessing, using the Software, or entering a license key, Licensee accepts this license.

2) Definitions

  • "Software" means the AODE codebase, installer, documentation, updates, and any portion of them.
  • "Instance" means a deployed and running copy of the Software on a server/VPS.
  • "Production Instance" means an environment used for real users or real business operations.
  • "Staging Instance" means a non-production environment used strictly for testing/QA/validation before production release. If a staging environment serves real users or real business operations, it is considered Production.
  • "Redistribution" means sharing, publishing, providing access to, or making available the Software (source or binaries) to any third party, including public/private repositories accessible by third parties, file-sharing links, packaged delivery, or giving repo access outside Licensee's organization.
  • "Resale" means selling, licensing, sublicensing, renting, leasing, or monetizing the Software itself (or a substantially similar copy/fork) as a product, template, boilerplate, kit, or "AODE-like" platform.
  • "Public Release" means publishing or making available the Software (or any substantial portion of it) to the public, including public Git repositories (GitHub/GitLab/Bitbucket), gists, paste sites, package registries, Docker registries, torrents, or any "open-source" style release.
  • "Unauthorized Copy" means each third party who obtains a copy of the Software or access to it as a result of a breach, including (without limitation) forks, clones, downloads, package pulls, container image pulls, or redistribution to clients/external collaborators.
  • "Solo Price" means the then-current list price of the AODE Solo license published by Licensor (e.g., on Licensor's website) at the time Licensor issues a breach notice.
  • "Breach Event" means each separate Public Release publication (each public repo, package release, container image, or file-share publication) and each separate resale/distribution channel.

3) License Grant (What is allowed)

Licensor grants Licensee a limited, non-exclusive, non-transferable, revocable license to:

  • (a) install and run the Software for Licensee's internal use,
  • (b) modify the Software for Licensee's internal use,

subject to the limits and restrictions in this license.

4) Solo Plan Limits (Installations)

Under the AODE Solo plan, Licensee may run:

  • 1 Production Instance, and
  • 1 Staging Instance,

for the same Licensee.

Running more Instances than permitted requires purchasing additional licenses or a different plan.

5) Strict Restrictions (No Resale / No Redistribution / No Public Release)

Licensee must NOT, directly or indirectly:

  1. Redistribute the Software (source or binaries) to any third party.
  2. Resell, sublicense, rent, lease, or commercially provide the Software as a standalone product, template, kit, boilerplate, or "AODE-like" platform/marketplace.
  3. Publish the Software (or a substantial portion) in any Public Release.
  4. Share, transfer, or "lend" license keys, or enable installations beyond plan limits.
  5. Remove or alter licensing, copyright, attribution, or key verification mechanisms.
  6. Circumvent or attempt to bypass licensing enforcement, entitlement checks, or security controls.

6) Client Work (Solo boundary)

Licensee may use the Software to operate Licensee's own internal services/tools.

Solo plan does NOT allow delivering the Software (or any part of it) to clients or third parties, including:

  • giving access to the source repository,
  • providing a deployable copy/package,
  • transferring control/ownership of an Instance to a third party.

A separate Agency/Reseller license is required for client delivery, white-label distribution, or resale rights.

7) Ownership

The Software is licensed, not sold. Licensor retains all rights, title, and interest in the Software.

8) Updates (No entitlement)

Updates, upgrades, patches, maintenance, and new versions are NOT included with this license. Licensor may release free updates at its sole discretion and may stop doing so at any time.

If and only to the extent required by mandatory applicable law, Licensor will provide updates necessary to keep the Software in conformity, including security updates, for the legally required period.

9) Verification, Records, and Audit

If Licensor reasonably suspects a breach of Sections 4–6, Licensee must within 7 calendar days:

  • (a) provide a written confirmation of the number of Instances and their environments (Production/Staging),
  • (b) provide basic proof reasonably needed to verify compliance (e.g., active domains/deployments and server identifiers),
  • and (c) for Public Release incidents, provide available analytics/logs reasonably needed to estimate Unauthorized Copies.

If an audit confirms a breach, Licensee must reimburse Licensor's reasonable audit costs.

10) Remedies for Breach (Revenue Return + EUR 10,000 + Per-Copy Fee)

If Licensee breaches Sections 4–6 (including any Public Release), then:

10.1 Disgorgement (Revenue Return)

Licensee must pay Licensor 100% of all gross revenue and economic benefit obtained from the breach, including sales, subscriptions, setup fees, and bundling revenue attributable to the Software.

10.2 Liquidated Damages (Minimum amount)

In addition to disgorgement, Licensee must pay EUR 10,000 per Breach Event as liquidated damages (a reasonable pre-estimate of harm), regardless of whether revenue is EUR 0.

10.3 Per-Copy License Fee (Free/Public distribution)

For any Public Release or free redistribution, Licensee must additionally pay:

(Unauthorized Copies × Solo Price).

If exact counts are not available, Unauthorized Copies will be determined using reasonable evidence and estimates, including repository analytics (forks/clones/download statistics), registry pull counts, web logs, and other relevant metrics.

10.4 Total Amount Due (Public Release)

For a Public Release incident, the total amount due is:

Disgorgement (if any) + EUR 10,000 × (number of Breach Events) + (Unauthorized Copies × Solo Price).

11) Immediate Takedown (Public Release)

For any Public Release, Licensee must remove it within 24 hours of Licensor's notice (or immediately upon discovery, whichever is earlier), and provide written confirmation plus links to all known mirrors/forks/re-uploads under Licensee's control.

12) Termination

This license terminates automatically upon any breach of Sections 4–6.

Upon termination, Licensee must:

  • stop using the Software immediately,
  • delete all copies (including forks and backups under Licensee control),
  • remove all deployments of the Software.

Sections 7, 9–16 survive termination.

13) Injunctive Relief and Legal Fees

Licensee agrees that breach may cause irreparable harm. Licensor may seek injunctive relief to stop resale/distribution/circumvention where permitted by law. Licensee must reimburse Licensor's reasonable legal and enforcement costs, to the maximum extent permitted by law.

14) Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION).

LICENSOR'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM.

16) Mandatory Law (Worldwide carve-out)

Nothing in this license limits any rights that cannot be excluded under applicable mandatory law. Where mandatory law applies, this license shall be enforced to the maximum extent permitted.

17) Language and Currency

The English version of this license controls. All amounts stated in this license are in EUR, unless Licensor explicitly states otherwise.

18) Governing Law and Venue

This agreement is governed by the laws of the Republic of Lithuania. Any dispute shall be resolved exclusively in the courts of Lithuania, unless mandatory law requires otherwise.

19) Entire Agreement

This license and the purchase record form the entire agreement regarding the Software.
